
Market Edge Communications, Inc. - Media Purchase Standard Terms and Provisions

Any approved Media Schedule, subject to the corrections and alterations noted thereon, constitutes our authority to Market Edge Communications, Inc. to make contracts for space as indicated thereon. The Client understand and agree that said Schedule cannot be amended, modified or canceled unless the contract or contracts entered into by Market Edge Communications, Inc. pursuant to such authorization permit such amendment, modification or cancellation, and that where such amendment, modification or cancellation is permitted, the same may be effected by us only upon reasonable notice to Market Edge Communications, Inc.
The Client agree to indemnify Market Edge Communications, Inc., their employees, and agents, for all additional costs incurred due to any such amendment, modification or cancellation.
The Client agree to indemnify market Edge Communications, Inc. against expenses incurred due to legal claims arising from advertising approved by us.
The Client agree that Market Edge Communications, Inc. will invoice upon submission of a binding insertion order to publication.
The Client acknowledge, Market Edge Communications, Inc. may act in our best interest with respect to subsequent modification or cancellation to advertising programs and will hold Market Edge Communications, Inc., their employees, and agents, harmless for any modification or cancellation.
The Client agree to stated terms of payment on invoice from Market Edge Communications, Inc. and will pay all costs as stipulated on invoice and to pay all costs incurred to collect unpaid invoices including, if necessary, court costs and reasonable attorney fees.
The Client also acknowledge payment of any invoice from Market Edge Communications, Inc. for media space purchase shall constitute our authorization for said purchase, even in the event a Media Schedule form has not been signed. In the event of any advertising program cancellation or modification made after payment of invoice to Market Edge Communications, Inc., The Client agrees subsequent credits for cancelled or modified advertising/programs may be used for alternative advertising programs or marketing activities, even in the event The Client does not receive notice at the time of the cancellation or change.
In the event a media vendor invoices the client following payment to Market Edge Communications, Inc. for same media purchase, the client shall forward the invoices directly and timely to Market Edge Communications, Inc. If the client chooses to pay the invoice for media directly to the vendor, then the client acknowledges the amount paid to Market Edge Communications, Inc., less normal agency commission will be retained by Market Edge Communications, Inc. as a credit to be used towards subsequent marketing services performed by Market Edge Communications, Inc.
The Client acknowledge these are standard terms and conditions effective to any past and current advertising and marketing activities provided by Market Edge Communications, Inc. on our behalf.
